Term of Service

 

1. Acceptance

By accessing d2pulse.com or purchasing our services, you agree to these Terms.

2. Services

We provide digital marketing, web development, graphic design and AI consulting (“Services”). Specific deliverables are set in each proposal or Statement of Work (SOW).

3. Eligibility

You must be at least 18 years old and able to form a binding contract.

4. Accounts & content accuracy

You’re responsible for the information you provide and for keeping log-in credentials secure.

5. Fees & payment

Prices are quoted in EUR, exclusive of VAT unless stated. Invoices are payable within 15 days, unless otherwise agreed.

6. Intellectual property

• You retain ownership of materials you supply.
• We retain ownership of pre-existing IP, frameworks and AI prompts.
• Upon full payment, you receive a non-exclusive licence to the final deliverables for the agreed purpose.

7. Acceptable use

No unlawful, defamatory, infringing or malicious use of the Site or Services. No attempt to reverse engineer our proprietary code or models.

8. Third-party links & tools

Links to external sites are provided “as is”. We’re not liable for their content or practices.

9. Disclaimer of warranties

Services are provided with reasonable skill and care, but without any warranty that they will meet all specific business results beyond those expressly stated.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability is limited to the total fees paid in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify us against claims arising from content you supply or unlawful use of the Services.

12. Termination

Either party may terminate for material breach with 14 days’ written notice (or immediately for non-payment). Clauses on IP, confidentiality and liability survive termination.

13. Governing law & jurisdiction

These Terms are governed by Spanish law. Courts of Seville have exclusive jurisdiction.

14. Changes to Terms

We may update these Terms by posting a revised version. Continued use of the Site after changes equals acceptance.
